Terms & Conditions

These Terms & Conditions (“Terms”) govern the provision of services by T&R Analytics and Web Designs (Pty) Ltd (“T&R”, “we”, “us”, or “our”) to any client (“Client”, “you”, or “your”). By engaging our services, accessing our website, or signing a proposal, quotation, or agreement, you agree to be bound by these Terms.

1. About T&R Analytics and Web Designs

T&R Analytics and Web Designs is a technology and digital services company providing, among others:

  • Website design and development
  • Web hosting and domain registration
  • Software and application development
  • Data analytics and business intelligence solutions
  • Digital marketing and branding services
  • AI-powered systems and automation solutions

Services are provided primarily within Lesotho, but may extend regionally and internationally.

2. Scope of Services

2.1 Services shall be delivered strictly in accordance with an agreed proposal, quotation, project roadmap, or service agreement.

2.2 Any services not explicitly included in the agreed scope shall be treated as additional work and may attract extra costs and revised timelines.

2.3 T&R reserves the right to subcontract parts of the work where necessary, while remaining responsible for overall delivery.

3. Client Responsibilities

The Client agrees to:

  • Provide accurate, complete, and timely information, content, and approvals required for project execution.
  • Ensure ownership or lawful permission to use all content supplied (text, images, logos, data, etc.).
  • Respond to requests for feedback or approval within reasonable timeframes.

Delays caused by the Client may result in timeline extensions and/or additional costs.

4. Fees, Payments & Invoicing

4.1 All fees shall be as stated in the approved quotation or agreement.

4.2 Unless otherwise agreed:

  • A deposit may be required before work commences.
  • Remaining balances are payable according to agreed milestones or upon project completion.

4.3 Invoices are payable within the stated period (usually 7–14 days).

4.4 Late payments may result in:

  • Suspension of services (including websites, hosting, or systems)
  • Withholding of deliverables
  • Additional penalties or interest, where applicable

4.5 All prices are exclusive of applicable taxes unless stated otherwise.

5. Hosting, Domains & Third-Party Services

5.1 Where T&R provides hosting, domain registration, or third-party integrations:

  • Such services may be subject to third-party terms and policies.
  • Renewal fees must be paid before expiry to avoid suspension or loss of service.

5.2 T&R shall not be liable for service interruptions caused by third-party providers, force majeure events, or circumstances beyond our reasonable control.

6. Intellectual Property Rights

6.1 Upon full and final payment, the Client shall own the final approved deliverables, unless otherwise agreed in writing.

6.2 T&R retains ownership of:

  • Pre-existing tools, frameworks, templates, code libraries, methodologies, and trade secrets
  • Any proprietary systems or reusable components not specifically developed for the Client

6.3 T&R reserves the right to showcase completed work in its portfolio, marketing materials, and case studies, unless otherwise agreed.

7. Confidentiality

7.1 Both parties agree to treat all non-public, sensitive, or proprietary information as confidential.

7.2 Confidential information shall not be disclosed to third parties without prior written consent, except where required by law.

8. Revisions & Change Requests

8.1 Reasonable revisions within the agreed scope are included unless stated otherwise.

8.2 Major changes, scope expansions, or new feature requests will be quoted separately and may affect delivery timelines.

9. Project Delays & Suspension

9.1 T&R shall not be held responsible for delays caused by:

  • Client inaction or late approvals
  • Incomplete or inaccurate information
  • Third-party service failures

9.2 T&R reserves the right to suspend work or services if payments are overdue or if the Client breaches these Terms.

10. Limitation of Liability

10.1 T&R shall not be liable for:

  • Loss of profits, revenue, data, or business opportunities
  • Indirect, incidental, or consequential damages

10.2 T&R’s total liability shall not exceed the amount paid by the Client for the specific service giving rise to the claim.

11. Warranties & Disclaimers

11.1 T&R provides services on a professional and best-effort basis.

11.2 No guarantees are made regarding specific business outcomes, profits, rankings, or performance unless explicitly stated in writing.

12. Termination

12.1 Either party may terminate a project by written notice if the other party materially breaches these Terms and fails to remedy the breach.

12.2 Upon termination:

  • Work completed up to the termination date remains payable
  • No refunds shall be issued for completed or partially completed work

13. Force Majeure

T&R shall not be liable for failure or delay in performance due to events beyond reasonable control, including but not limited to natural disasters, power outages, internet failures, strikes, or government actions.

14. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Kingdom of Lesotho.

15. Amendments

T&R reserves the right to update or amend these Terms at any time. Updated versions will be effective upon publication or communication to the Client.
